1. Agreement to terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and LoadPilot ("we," "us" or "our"), concerning your access to and use of the LoadPilot SaaS platform and website. This also covers our mobile driver app (together, the "Service"). If you use the Service on behalf of a company, you confirm you have authority to bind that company. If you do not agree, do not use the Service.
2. The Service
LoadPilot provides software tools for logistics management, including but not limited to managing drivers, tracking containers, dispatching, and billing. It serves drayage carriers, brokers and OTR carriers, and also covers invoicing and driver payroll and settlements. Features may include email-to-dispatch order sync, port data and notification emails, a driver mobile app with chat, and integrations such as QuickBooks. We may improve, change or retire features from time to time.
3. Accounts and security
- Each company has an account with an organization ID. The company's administrators create and manage users and decide what each user can do.
- You must give accurate information, keep login details confidential and tell us promptly if you suspect unauthorised use.
- You are responsible for activity under your account, including your staff and drivers.
4. Acceptable use
You agree to use the platform in compliance with all applicable laws and regulations and solely for your internal business operations. You must not: misuse or attempt to disrupt or gain unauthorised access to the Service; reverse engineer it; resell or share access outside your company; upload unlawful or harmful content; or use it to track people without their knowledge or a lawful basis. You are responsible for informing your drivers about location tracking and for having the rights needed to enter data about them, your customers and your loads.
5. Your data
By using LoadPilot, you grant us the right to process your operational data (including driver information, load details, and GPS tracking) to deliver our services. This includes documents and messages entered in the platform. We handle all data in accordance with our Privacy Policy. You remain the sole owner of all data you input into the platform. You are responsible for the accuracy and legality of the data you enter and for the rates, charges, invoices and pay you set.
6. Third-party and connected services
The Service can connect to third parties, such as QuickBooks, Gmail, Outlook and port or terminal systems. Your company decides whether to connect them and is responsible for having the right to do so and for complying with their terms. We do not control those services and are not responsible for their availability, data or changes. Information fetched from ports, emails or other sources (including dates such as ETA and last free day) is provided as received. You should confirm critical dates and charges with the source before relying on them.
7. Notifications and automations
Features such as order sync from email, AI-assisted order extraction, and automatic email notifications work from the data and settings available to them. They are tools to help your team. Review pending orders and notifications as needed, and keep your connections and contact details up to date. We do not guarantee that every email will be read correctly or that every notification will be delivered or acted on.
8. Subscription and payments
LoadPilot is a billed subscription service. You agree to pay all fees associated with your chosen plan. Current pricing is shown on our pricing page or in your order. Fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our pricing upon giving reasonable notice. Where a free trial applies, it runs for the stated period and you are billed after it ends unless you cancel before then. You are responsible for any applicable taxes.
9. Intellectual property
The Service, including its software, design, text and branding, is owned by LoadPilot and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your internal business operations. You may not copy, modify or distribute any part of it except as permitted by these Terms.
10. Availability and support
We work to keep the Service available and secure, but it is provided on an "as is" and "as available" basis. We may carry out maintenance, and the Service may be affected by events outside our control, including internet, port, email or third-party outages. Support is provided as described in your plan.
11. Suspension and termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service. On termination, your right to use the Service ends. You can ask us to export or delete your data, and we will handle that request in line with our Privacy Policy and the law.
12. Disclaimer of warranties
To the fullest extent permitted by law, we make no warranties, express or implied, about the Service, including fitness for a particular purpose, uninterrupted or error-free operation, or the accuracy of data from third-party sources. You are responsible for your own dispatch, billing, payroll, compliance and business decisions.
13. Limitation of liability
In no event will LoadPilot, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the platform. This includes storage, demurrage, per-diem and detention charges. Where the law does not allow this exclusion in full, our total liability is limited to the fees you paid us in the 12 months before the claim arose.
14. Indemnity
You agree to defend and hold LoadPilot harmless from claims arising from your use of the Service in breach of these Terms or applicable law, or from data you enter without the right to do so, to the extent permitted by law.
15. Governing law
These Terms are governed by the laws of the jurisdiction in which LoadPilot is established, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction, unless the law gives you the right to bring a claim elsewhere.
16. Changes to these terms
We may update these Terms from time to time. The "last updated" date shows the latest version. If a change is material, we will take reasonable steps to let you know. Continuing to use the Service after a change means you accept the updated Terms.
